Well, “Business Registration” is a very generic term. In Canada, a business can be registered in the above five formats. Here is a quick explanation and guidelines for you to choose the right form of business for you.

Ontario Corporation

Ontario Corporation is a company registered with service Ontario under Ontario Business Corporations Act. (OBCA). It can legally carry out business activities in Ontario. To incorporate in Ontario you must be above the age of 18 and have a physical address in Ontario. There is no residency requirement.

Ontario Sole Proprietorship

Sole Proprietorship is an unincorporated business that is owned by a single person. The business owner has the sole responsibility for making decisions, receiving all profits, and claiming losses. This form of business does not have a separate existence like a corporation.

Next, we register a Sole Proprietorship. You will receive a final business registration statement with a business registration number (BIN) by email. Afterwards, other services such as GST/HST account, CRA business number etc. will be emailed.

Ontario Trade Name

Trade name is also called an Operating Name or DBA (Doing Business As). If you want to use a name other than your legal business name, you will need to register it as a trade name. Filing a trade name does not establish a new business – a trade name is simply a nickname for the business you already have.

Ontario Non-Profit Corporation

An Ontario Non-Profit Corporation (also known as an Ontario not-for-profit corporation) is a legal entity formed under the laws of Ontario, Canada, governed by the Ontario Not- for-Profit Corporations Act (ONCA). For a Non-Profit all profits are not distributed to its members, instead put back into the operations of the business. Non-Profit doesn’t have a share capital.

  1. Choose a unique name. Use NUANS database for a thorough search.
  2. Appoint the incorporator, directors, shareholders and officers. At least one person must serve as an incorporator, director, and shareholder, and it’s possible
    for a single individual to occupy all three positions.
  3. Provide a registered office address. It must be a physical address in the province of registration. If you don’t have one, IncorpMaster provides a registered office address and a mail scanning service.
  4. Do the required filings. If you incorporate in Ontario, a mandatory Initial return must be filed 60 days within the incorporation.

If you incorporate provincially – there is no residency requirement. If you incorporate Federally – 25% of corporation’s directors must be Canadian citizens or permanent residents.
