  • What are the share certificates?
    Share certificates are a legitimate and authoritative sign of corporate ownership. banks may ask for them to open a bank account. Most people take 5 certificates to save money, although some people may choose 10 or 20. they come with blank certificates in case you want to add a spouse, child, or friend as a shareholder in the future.
  • Why corporate seals are important?
    The corporate seal is a tool used to stamp or imprint your company's official documents in order to show that the paper has been validated and approved by the Board of Directors. it is often used for:
    1. employment and vendor contracts
    2. minutes from Board of Directors meetings
    3. leases
    4. To be granted for bank loans or mortgages
    5. any contracts or agreements
  • What is Corporate tax ID
    Corporations must report all income and expenses to CRA. A Corporate tax ID (also known as RC 0001) is used for this purpose. Every corporation must obtain a corporate tax ID with CRA.
  • When a GST account is needed?
    A GST number is a formal number that's required before you can start charging GST as a freelancer, self-employed individual, or small business owner. Even if you meet the requirements to charge GST you can't begin to charge it unless you've formally received your GST number.
  • When a payroll account is needed?
    It is quite common for business owners to employ family members or independent contractors. In these cases, the corporation pays the salary to the employee through a CRA payroll account.
  • When a WSBC account is needed?
    In order to hire an employee in BC, businesses must create an account with the WorkSafeBC (WSBC). The WSBC is the compensation Board for Workplaces that are regulated by the provincial government. It's important to set up an account now, even if you don't plan to hire anyone in the immediate future.

  • A numbered company does not need prior name approval from the government, enabling registration to be completed in as short as one business hour. However, the incorporation of a named company necessitates prior name approval, resulting in additional costs and time.

  • What is a named or numbered company?
    • Named Company: allows you to choose a name for your company. Example: Smith Trading Ltd.

    • Numbered Company: does not allow to choose a name. The name will be assigned randomly with the number of your company. Example: 10000445 BC Ltd.
  • Can I add an operating name?
    You can add an operating name (trade name, also known as DBA) to your numbered company at any point of time.
  • When to choose a numbered company?
    If you provide services to the public and you want to establish a brand for your business, then creating a named company is the better option. On the other hand, if you're looking to expedite the incorporation process by bypassing the name approval step, then opting for a numbered company is the better choice. Moreover, a numbered company can always add a trade name or operating name later.
  • Can I change the company name?
    Yes. You can put a specific name to a numbered company or change the name of an existing named company in any point of time. The name change is done through the articles of amendment and may may costs few hundred bucks.
  • What is the name approval document?
    A Name pre-approval (also known as name request) is required for the use of any name (other than a person's given name) as the name of a company (proprietorship, partnership, society, cooperative or corporation). The name request is the first step in the process of registering a business name with the Province of BC. Please Click here to see the sample.
  • What are rules for choosing a name?
    A name should typically include two parts: a distinctive and an explanatory component. The distinctive element should be an uncommon word or a made up term, while the explanatory part should be a more common English word. An example of this is "Smith Trading Ltd." In this name, 'Smith' is the distinctive portion, while 'Trading' is the explanatory element. Enter your desired name, and if it doesn't work out, we'll provide help.
  • How does the name preference work?
    The BC government permits a total of 3 names with ranking of choices to be submitted at once. Each name submission requires both time and a fee. If a name is rejected, the preceding fee is not refunded and a new fee is required for each additional submission. As such, it's recommended that you supply 3 distinct names to evade extra costs and expenses.
  • Which legal ending should I choose?
    Every company must include one of the legal endings provided by the government after the name of the business. These suffixes are synonymous and it is up to you to pick which one looks best with the name of the company.

  • Should I choose electronic documents?
    If you opt for electronic documents, we will send the pdfs to your billing email address. If you choose printed documents, you will receive the electronic documents in your email and then have hard copies sent to you by mail.
  • Can I incorporate on a future date?
    Yes. The requested date for incorporation cannot be less than the current date nor more than 30 days in the future.
  • Can I write many primary activities?
    This is the primary business activity of your business. Please write one activity in single or two words as we have to select the closest activity from the government system.
  • Corporation's Address

  • A corporation must have a physical address in Ontario for its registered office. Post office boxes or virtual mailboxes are not permitted. If you don't have a physical address, we offer an address and mail scanning service.

  • Is there a requirement for the company's address?
    • It must be physical address.
    • P.O. Box or virtual address is not allowed.
    • Any documents related to corporation is sent to this address.
  • How can I change the address in the future?
    The registered address can be changed in future paying the necessary filling fees. Many corporations start with a residential address as they do not have any rental address while registering the corporation, but they change their address in future when required.

    An address service is a yearly mail and scanning service that we provide to corporations who does not have a local physical address in Ontario. It can be renewed every year paying similar fees. Any corporation related documents that we receive, will be scanned and emailed to you.

    The Director of a corporation has the ultimate power to make administrative decisions and enact changes within the organization, as well as the ability to appoint and remove other directors.
    • Must be 18 years and above.
    • Can be a Canadian Citizen, PR or Non-Canadian Citizen.
    • Should not be in a status of bankruptcy.
  • Are you incorporating for someone else?
    If you are a lawyer, accountant or other professional, and are setting up this corporation for a client, do not enter your name in this section. This section is for the primary owner(s) of the business. We communicate directly with the individual listed on the billing address, not the directors.

  • Can I add or remove a director later on?
    To form a corporation, the information of at least one director is required. Going forward, you can add or take away directors from your corporation. If you opt for the "complete maintenance" services (in further steps), you can freely alter the directors of your corporation without incurring any charges.
  • What effect will adding extra directors have?
    Both directors have an equal amount of authority and power over the company. The second director can remove the primary director and the same applies vice versa. Thus, you may add an extra director whom you can trust.

  • Who is eligible to be an incorporator?
    The incorporator(s) are generally all the director(s). Incorporator simply means, the person(s), who applying to incorporate this business. Therefore, incorporator(s) can an individual(s) or another corporation.
  • Are you incorporating for a client?
    If you are lawyer, accountant or other service provider, and opening this corporation on behalf of a client, please do not write your name here. Incorporator(s) are generally the director(s) and owner(s) of the corporation. We don't communicate with the directors, rather we contact the person mentioned in the billing address.
  • Is this company part of a holding company?
    If you are incorporating this business as a child/operating company under a parent/holding company, you may choose "incorporator is another corporation" and put the parent/holding company name as incorporator.

  • Is it possible to make changes to the articles?
    The Articles of Incorporation are filed with the government when forming a corporation. Afterwards, the articles can be altered with the appropriate paperwork (Articles of Amendment) and payment.
  • How can I customize the share classes?
    The "Standard Articles of Incorporation" allows to issue class A common voting share and class B common non-voting shares. If you want to customize common/preferred/voting/non-voting/custom share class names etc., you may choose "set my own text " option. The custom share structure option will be displayed in next steps.

  • What is company bylaws?
    Corporate bylaws, also referred to as company constitution, are the guidelines, privileges, rules and procedures established by a corporation. Corporate bylaws is typically put together by a corporate lawyer to ensure that there are no rules or clauses in contradiction to the Provincial Corporations Act or Canada Business Corporations Act (CBCA).
  • What is corporate minutebook?
    A Corporate Minutebook are the official documents that contain the records of a corporation, such as its articles of incorporation. these records may be requested by anyone who wishes to inspect them or for an audit. additionally, some banks may require Corporate Bylaws and Minutebook in order to open an account.
  • Why should I add in package?
    The expense is eligible for tax relief. When setting up a business, the costs are classified as business development expenses, which can be claimed as a tax credit. Any expenditure after the company has been incorporated is known as operational costs and isn't eligible for a tax credit. Furthermore, doing it at a later date requires the involvement of a corporate lawyer, which would involve an increase in both cost and time, and still wouldn't be tax deductible.

  • What is a share and why do I need one?
    Since a corporation is a separate legal entity than its owners, it could owned only by owning its shares. The corporation's assets and stocks are go split into pieces and each of these pieces is called share. If a corporation issues 100 shares with $1 each, the total net worth of the corporation is 100x$1=$100.
  • Is it possible to alter the share price in the future?
    For simplicity of corporate filing, most people set up $1 share price in the beginning. Eventually, the share price and share numbers could be increased.
  • What is class A and B shares?
    A corporation's stock are split into shares. Those who own the shares, are in fact the owners of the corporation. Therefore, to make a classification of owners, shares are classified. Class A common voting share owners have voting rights to change the corporation's policies and rules. Class B common non-voting share owners do not have such rights.

  • What does it mean to be a shareholder?
    In simple language, the shareholders are the owners of the corporation. If a corporation has 1 shareholder, regardless of number of shares, the single shareholder owns 100% of the shares.
  • How to set up share class?
    A corporation has 2 shareholders: John and Mike.
    Case 1: Both owners have rights to vote: Assign class A to both.
    Case 2: Only John has voting rights: Assign class A to John and class B to Mike.
  • How do I set up the number of shares?
    Share number cannot be in decimal point.
    Case 1: John, Mike and Ali own same percentage: Assign exact same number to each.
    Case 2: John owns 40%, Mike owns 30% and Ali owns 30%: Assign shares 40 to John, 30 to Mike and 30 to Ali.
    Case 3: John owns 51%, Mike owns 24.5% and Ali owns 24.5%: Avoid decimal point by doubling the proportion. Assign 102 to John, 49 to Mike and 49 to Ali.

    Yes, every BC Corporations must report all income and expenses to CRA even though income is zero dollar. A Corporate tax ID (also known as RC 0001) is used for this purpose. Every corporation must obtain a corporate tax ID with CRA.

  • What is the purpose of an official email address?
    An official email address is included in the company's profile when filing the initial return. All the company's notifications, warnings and messages are sent directly to this address. If the company key needs to be reset at any point, the code to do so will be sent to this email.

    The corporation's officers (President, CEO, VP, Secretary etc.) run the daily operations of the business, and they are legally authorized to act on the corporation's behalf for most lawful business activities.
  • It is possible for one individual to take on multiple roles within a corporation?
    During the early stages, one person may be designated as the director, incorporator, officer, and shareholder. As the business expands, these roles can be reallocated to other people.

  • Who needs a payroll account?
    If you hire Employees including yourself, then you need a Payroll Account Number. If you do not have an employee, your own salary or a family member's salary can be processed through the payroll account to take advantage of CRA 'income splitting'.
